SECTION ONE - GENERAL INFORMATION

Any registered account holder on Playerplaza.com should read this Agreement in its entirety. Please note that this document constitutes a legally binding agreement between you, the registered user, and Playerplaza.com.

1.1 Terms and Conditions Binding

Registering for an account and participating in any game play offered on Playerplaza.com signifies your knowledge of and agreement to be bound by the current Terms and Conditions. Playerplaza.com reserves the right to modify these Terms and Conditions at any time. Your continued use of Playerplaza.com following any modifications to the Terms and Conditions signifies your acceptance of the modifications. You are responsible for reviewing these Terms and Conditions periodically for any modifications to the Terms and Conditions.

1.2 Entire Agreement

These Terms and Conditions, in connection with the other requirements and rules detailed in writing on Playerplaza.com, constitute the entire agreement between you and Playerplaza.com and cannot be modified by you. These Terms and Conditions govern your use of our service.

1.3 Governing Law and Disputes

These Terms and Conditions will be governed and construed in accordance with the laws of the State of Utah.

By registering for an account and participating in any game play offered on Playerplaza.com, you agree that any dispute that cannot be resolved between the parties shall be resolved individually, without resort to any form of class action. You further agree that any legal action arising from any dispute shall proceed only in the state or federal courts located in Salt Lake City in the State of Utah, and you hereby submit to personal jurisdiction and venue in such courts for the purposes of litigating any such action. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising from a dispute that cannot be resolved between the two parties must be filed within one year after such claim or cause of action arose or be forever null and void.

1.4 Severability

If any portion of this Agreement is deemed invalid, illegal, or unenforceable by a court of lawful jurisdiction, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the other provisions.

1.5 Amendment

Playerplaza.com reserves the right to change this Agreement at any time with or without notice and you will be bound by the Agreement upon it being posted. Therefore, we encourage you to read through these Terms and Conditions periodically. Your continued use of our services shall signify and attest to your agreement to this document and any amendments made therein.

SECTION TWO - OBLIGATIONS AND CONDITIONS

2.1 Registration Obligations

In consideration of your use of our services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to provide true, accurate, and complete information about yourself as prompted by the registration form and to maintain the accuracy of that information as you continue to use our services. If you provide any information that is untrue, inaccurate, incomplete, or Playerplaza.com has reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, Playerplaza.com has the right to suspend or terminate your account and refuse any future use of our services

2.1 Play Eligibility

As long as you meet the registration obligations, you are able to compete against other individuals and participate in game play. In order to play games for money, you must be a natural person, at least 18 years old, who is assigned to the e-mail address submitted on your account registration form. To participate in tournament play, you must not live in an U.S. state in which participation in the tournaments offered on Playerplaza.com is restricted by law. The following U.S. states do not allow fee-based tournaments with prizes to residents: Arizona, Arkansas, Delaware, Florida, Iowa, Louisiana, Maryland, and Tennessee.

2.3 Taxes and Legality

You are subject to all laws of the state, province and/or country in which you reside and from which you access Playerplaza.com, and you are solely responsible for obeying those laws. You agree that Playerplaza.com cannot be held liable if laws applicable to you restrict or prohibit your participation. Playerplaza.com makes no representations or warranties, implicit or explicit, as to your legal right to participate in any tournament offered on the Site nor shall any person affiliated, or claiming affiliation, with the Site have authority to make any such representations or warranties.

Playerplaza.com reserves the right to require any participant receiving any prize to provide us with proof that he or she is eligible to participate according to Sections 2.1 and 2.2.

In compliance with United States Internal Revenue Service regulations, Playerplaza.com will send a Form 1099 to any person who wins in excess of $600 (USD) in any given year. It would then be necessary for Playerplaza.com to obtain the individual's Social Security Number. You are solely responsible for paying all federal and other taxes in accordance with the laws that apply in your state, province, and/or country of residence.

2.4 Submissions

If you send comments or suggestions, including, but not limited to, surveys, text, drawings, or computer programs, to Playerplaza.com, such submissions shall become and remain our sole property. Playerplaza.com will be entitled to the unrestricted use of all submissions without any obligation for compensation to the individual submitting the information to our organization.

2.5 Acknowledgment of Proprietary Rights

By registering for an account and participating in any game play offered on Playerplaza.com, you acknowledge that all information contained on the website is protected by one or more valid copyrights, patents, trademarks, trade secrets, or other proprietary rights, and that all such rights are owned by Playerplaza.com. You may not modify, publish, create derivative works from, or in any way exploit this information contained within Playerplaza.com.

2.6 Privacy Policy

Playerplaza.com will not disclose any personally identifying information about you that we have collected to third parties without your consent except under specific circumstances outlined in our Privacy Policy. Playerplaza.com reserves the right to collect general non-identifiable demographic information about our members without any additional consent.

2.7 Account and Password Security

Upon completing the registration process, you will receive a personal account and password. You are responsible for maintaining the confidentiality of your password and account, and you are fully responsible for all transactions and activity that occurs under it. You agree to immediately notify Playerplaza.com of any unauthorized use of your password or account or any other breach of security.

2.8 Rules of Conduct for Chat

Playerplaza.com reserves the right to ban registered users who violate these standards, or who in any way abuse the community purpose of the chat areas. The use of profanity and any type of obscenity is strictly prohibited. The use of obscene, lewd, harassing, pornographic, insulting, indecent, and threatening language will not be tolerated.

SECTION THREE - LIABILITY LIMITATIONS

3.1 General Disclaimer

By registering an account and participating in any game play offered on Playerplaza.com, you agree that Playerplaza.com is not responsible for any damage, loss, or injury resulting from use of our services. You also agree that Playerplaza.com is not liable for any damage to your computer or corruption to your computer data upon using our services.

< 3.2 Limitation of Liability

Under no circumstances, including negligence, will Playerplaza.com be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use, or misuse, of our games, your access of Playerplaza.com, or the servers, even if Playerplaza.com had prior knowledge of the possibility of such damages.

Playerplaza.com also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing within our website.

In case of a malfunction or disruption of service for which Playerplaza.com is responsible that prevents you from completing a tournament or match play in which you have begun to participate, Playerplaza.com will, upon being notified, refund the amount lost due to the malfunction. Playerplaza.com reserves the right to determine, in its sole discretion, whether it is responsible for any such malfunction or disruption.

3.3 No Warranties

Playerplaza.com denounces any and all warranties, expressed or implied, in connection with our website, games, and services. All of our services are provided to you "as is" with no warranty whatsoever. Even though we make great efforts to provide you with the best service possible, we make no warranty that our website and servers will be completely uninterrupted or error free.

3.4 Credit Card Use

You agree that Playerplaza.com is not liable for any loss caused by any unauthorized use of your credit card or other method of payment by a third party in connection with our website.

3.5 Unauthorized Access

By registering for an account and participating in any game play offered on Playerplaza.com, you agree that we are not responsible for any damage, loss, or injury resulting from any unauthorized access of your account. You, as the account holder, are solely responsible for all activity and transactions under your account. You may not allow any other person to access your account under any circumstances.
